Master Services Agreement — Plain Language Guide

We believe every client should fully understand what they’re agreeing to. This guide explains our Master Services Agreement in clear, simple language — no legal jargon.

§1

Definitions

🔖

This section sets up the shared vocabulary for the entire agreement. When you see capitalized words like “Services,” “Deliverables,” or “SOW,” they have specific meanings defined here.

“Agreement” = this MSA plus all SOWs and attachments
“Deliverables” = the specific work products we create for you
“Statement of Work (SOW)” = the document for each project listing tasks, timeline & price
“Work Product” = all code, designs, and content we create under a project
“Effective Date” = the date both parties have signed

💡 What this means for you

Every project starts with a Statement of Work. Think of the MSA as the rulebook, and the SOW as the game plan for each specific project.

§2

Scope of Services

🛠️

This explains what CreationWebs LLC does for you — web design, development, digital marketing, SEO, and more — and how projects are scoped and managed.

Each project is governed by its own SOW referencing this agreement
Any changes to the project scope require a written Change Order
Change orders may result in additional fees and timeline adjustments
CreationWebs may use subcontractors but remains fully responsible for their work

💡 What this means for you

Scope creep won’t catch you off guard. Any additions to the original project must be agreed upon in writing before work begins.

§3

Fees, Payment & Invoicing

💳

This covers how and when you pay for services — including payment timelines, late fees, deposits, and what happens if a bill is disputed.

Invoices are due within 15 days of receipt
Late payments accrue 1.5% interest per month (18% annually)
A deposit of up to 50% may be required before work begins (non-refundable)
Disputed invoices must be flagged in writing within 7 days
Services may be suspended if payment is 15+ days overdue after notice
You are responsible for all applicable taxes on services
If collection is required, you pay attorney’s fees and collection costs

💡 What this means for you

Pay on time and communicate early if there’s an issue with an invoice. Deposits secure your project slot and protect both sides.

§4

Intellectual Property & Ownership

©️

This section explains who owns what — and the short answer is: once you’ve paid in full, the custom work belongs to you.

CreationWebs retains ownership of its tools, frameworks, and pre-existing methods
You retain ownership of all content, logos, and data you provide
Custom Deliverables transfer to you upon full payment of all fees
Open-source or licensed components remain under their respective licenses
CreationWebs may showcase the project in its portfolio unless you request confidentiality
IP transfer is conditional on full payment — no payment, no transfer

💡 What this means for you

Your custom website and designs are yours — after final payment. Standard tools and frameworks we use across clients are not transferred, but you get a license to use them as part of your project.

§5

Confidentiality

🔒

Both parties agree to keep each other’s private business information secret and to only use it for the purposes of this project.

Both sides must protect the other’s confidential business, technical, and financial information
This obligation lasts 3 years after the agreement ends
Exceptions: info that becomes public, was already known, or is required by law to disclose
Either party can request return or destruction of confidential materials
Breach of this section could justify urgent court action (injunctive relief)

💡 What this means for you

We won’t share your business strategies, and you won’t share our proprietary processes. This protection lasts for 3 years after we stop working together.

§6

Warranties

✅

CreationWebs promises to deliver professional, quality work. You promise you have the right to use everything you provide to us.

CreationWebs will perform all services to professional industry standards
Our work won’t knowingly infringe anyone else’s intellectual property
You warrant that your logos, content, and materials don’t violate third-party rights
You warrant that you have authority to enter this agreement
Beyond what’s stated, services are provided “as is” — no implied warranties

💡 What this means for you

We stand behind the quality of our work. But make sure anything you send us (photos, content, logos) is legally yours to use.

§7

Limitation of Liability

⚖️

This section caps how much either party can be held responsible for if something goes wrong — protecting both sides from runaway legal exposure.

Neither party is liable for lost profits, indirect, or consequential damages
CreationWebs’ maximum liability is capped at fees paid in the prior 3 months
Exceptions: payment obligations, confidentiality breaches, and gross negligence are not capped

💡 What this means for you

If something goes wrong, claims are limited to what you’ve actually paid us recently. This is standard in tech and creative service contracts and protects both parties.

§8

Indemnification

🛡️

Each party agrees to protect the other from certain types of legal claims — you cover issues caused by your content or misuse, we cover issues caused by our mistakes.

You protect CreationWebs from claims arising from your content, misuse of deliverables, or your own negligence
CreationWebs protects you from claims arising from our gross negligence or knowing IP infringement
The protected party must promptly notify the other and cooperate with the defense
The defending party controls the legal response and cannot settle without your consent on claims that affect you

💡 What this means for you

If a third party sues because of something you provided (like an image you didn’t have rights to), that’s your responsibility. If they sue over our design process, that’s ours.

§9

Term & Termination

📅

This explains how long the agreement lasts and how either side can end it — with or without cause.

The agreement is ongoing until terminated by either party
Either party can end the overall MSA with 30 days’ written notice
You can terminate a specific project (SOW) with 14 days’ notice — but you pay for work already done
Immediate termination is allowed if the other party commits a material breach and doesn’t fix it within 15 days
Immediate termination also allowed if either party becomes insolvent
CreationWebs will provide up to 30 days of transition assistance at standard hourly rates

💡 What this means for you

You’re not locked in forever. But if you cancel a project midway, you pay for the work already completed plus any non-cancellable costs we’ve incurred on your behalf.

§10

Force Majeure

🌪️

Neither party is penalized for delays caused by events completely outside their control — like natural disasters, pandemics, or internet infrastructure failures.

Covers: acts of God, natural disasters, pandemics, war, government actions, power or internet outages
The affected party must notify the other promptly and work to resume as soon as possible
If the situation continues for 60+ days, either party can cancel the affected project without penalty

💡 What this means for you

Unexpected world events won’t put either of us in breach. We’ll communicate and work together to get back on track.

§11

Dispute Resolution

🤝

If we ever disagree on something important, this section sets up a fair, step-by-step process to resolve it — starting with conversation, not lawyers.

Step 1: Good-faith senior-level negotiation for 15 business days
Step 2: If that fails — non-binding mediation in Pasco County, Florida (shared cost)
Step 3: If still unresolved — litigation in Pasco County, FL state or federal court
Florida law governs the agreement
The winning party in litigation recovers attorney’s fees and costs
Either party can seek urgent court action to prevent irreparable harm at any time

💡 What this means for you

We’d always rather talk it out first. Courts are a last resort — mediation is faster, cheaper, and often solves the problem without a lawsuit.

§12

Independent Contractor

💼

CreationWebs is your service provider — not your employee. This section clarifies the nature of our working relationship.

CreationWebs operates as an independent contractor, not an employee
No partnership, joint venture, or agency relationship is created
CreationWebs handles its own taxes, insurance, and benefits
Our team members are not entitled to your company’s employee benefits

💡 What this means for you

You’re hiring a professional agency, not bringing on staff. This protects you from employment-related legal obligations.

§13

Non-Solicitation

🚫

For a year after the agreement ends, neither party will try to poach the other’s team members who worked on this relationship.

12-month restriction on directly soliciting each other’s employees or contractors
Applies only to individuals involved in delivering or receiving services
General job postings open to the public are allowed — only direct targeted solicitation is restricted

💡 What this means for you

You can’t hire our developers directly after working with us, and we won’t recruit your team either. This is standard mutual protection.

§14

Non-Disparagement

🤐

Both parties agree not to publicly badmouth each other during the project or for 2 years after it ends.

24-month mutual non-disparagement obligation
Covers: public statements, reviews, social media, and any communications that damage reputation
Applies to the companies and their officers, employees, products, and services

💡 What this means for you

We commit to treating each other with professionalism in public — always. This protects both your brand and ours.

§15

Data Protection & Privacy

🔐

We take your data seriously. This section explains how we protect your information and what happens if there’s ever a security incident.

Both parties must comply with Florida FIPA and applicable federal privacy laws
CreationWebs implements reasonable technical security measures to protect your data
We never sell, rent, or share your data with third parties except as needed to deliver services
If a data breach affecting your data occurs, we notify you within 72 hours of discovery

💡 What this means for you

Your data is safe with us. We won’t sell it, and if something ever goes wrong, you’ll hear from us within 3 days — not weeks.

§16

Insurance

🏥

CreationWebs maintains professional insurance so that if something goes seriously wrong, there’s financial protection in place.

Commercial General Liability: at least $1,000,000 per occurrence
Professional Liability / Errors & Omissions: at least $1,000,000
Any other insurance required by applicable law
Certificates of insurance available upon written request

💡 What this means for you

We carry real professional insurance. If you ever need proof for your own procurement process, just ask.

§17

General Provisions

📋

These are the “housekeeping” clauses that tie the whole agreement together — covering amendments, notices, signatures, and more.

This agreement (plus SOWs) is the complete and final understanding between parties
Changes must be in writing and signed by both parties — no verbal modifications
Either party can use electronic signatures (DocuSign, etc.) — fully valid and binding
The agreement cannot be transferred to another company without consent (except in mergers)
Legal notices go to legal@creationwebs.com or certified mail to Port Richey, FL
If any clause is found unenforceable, the rest of the agreement remains in effect
The SOW takes precedence over this MSA if there’s ever a conflict between the two

💡 What this means for you

The whole deal is in writing. No handshake additions. Electronic signatures are fine. And if one part of the contract ever becomes invalid, the rest still protects you.
